1. Acceptance of Terms

By accessing or using ProtocolIQ (“the Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not use the Service. These Terms constitute a binding agreement between you and ProtocolIQ.

2. Description of Service

ProtocolIQ is a protocol management platform designed for licensed healthcare clinics and providers. The Service enables tracking of patient titration schedules, dosing protocols, and appointment reminders. ProtocolIQ is a software tool and does not provide medical advice, diagnosis, or treatment.

3. Eligibility and Account Registration

You must be a licensed healthcare provider or an authorized representative of a licensed clinic to use ProtocolIQ. You agree to provide accurate, current, and complete information during registration and to keep your account credentials secure. You are responsible for all activity occurring under your account.

4. HIPAA and Data Protection Obligations

As a user of ProtocolIQ in connection with protected health information (PHI), you acknowledge that you may be a covered entity or business associate under HIPAA. You agree to:

  • Use the Service only in compliance with applicable healthcare privacy and security laws.
  • Maintain appropriate safeguards for account access and user credentials.
  • Report any suspected unauthorized access or data breach to us immediately.

ProtocolIQ will enter into a Business Associate Agreement (BAA) with eligible customers upon request, as required by HIPAA.

5. Data Ownership and Use

You retain ownership of all patient and clinic data you input into the Service. ProtocolIQ does not claim ownership of your data. We use your data solely to provide, maintain, and improve the Service. We never sell patient data. We will not sell, rent, or share patient-identifiable data with third parties for commercial purposes.

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
  • Attempt to gain unauthorized access to the Service or its underlying systems.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Upload or transmit any viruses, malware, or harmful code.
  • Use the Service to store or process data for which you do not have proper authorization or consent.

7. Confidentiality and Security

We implement industry-standard security measures to protect your data, including encryption in transit and at rest, access controls, and regular security assessments. However, no system is completely secure, and we cannot guarantee absolute security. You are responsible for maintaining the confidentiality of your login credentials.

8. Limitation of Liability

To the maximum extent permitted by law, ProtocolIQ and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service. Our total liability for any claim arising under these Terms shall not exceed the amount paid by you to ProtocolIQ in the twelve (12) months preceding the claim.

9. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties. Upon termination, your right to use the Service ceases immediately. Provisions intended to survive termination shall remain in effect.

10. Changes to Terms

We may revise these Terms from time to time. The most current version will always be posted on this page. Material changes will be notified via email or through the Service. Your continued use of the Service after changes constitutes acceptance of the revised Terms.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Delaware.
